FOUNDER CLUB MEMBERSHIP AGREEMENT

IMPORTANT LEGAL NOTICE — PLEASE READ CAREFULLY

THE REYLIFF FOUNDER CLUB IS A PREMIUM CONSUMER LOYALTY MEMBERSHIP PROGRAM. IT IS NOT AN INVESTMENT, SECURITY, FINANCIAL INSTRUMENT, EQUITY OFFERING, OR BUSINESS OPPORTUNITY OF ANY KIND. PURCHASING A FOUNDER CLUB MEMBERSHIP DOES NOT ENTITLE YOU TO ANY OWNERSHIP INTEREST IN REYLIFF LLC, ANY SHARE OF PROFITS OR REVENUES, ANY GUARANTEED FINANCIAL RETURN, OR ANY RIGHT TO PARTICIPATE IN THE MANAGEMENT OR DIRECTION OF THE COMPANY.

By purchasing a Founder Club membership, you acknowledge that you have read, understood, and agree to be bound by this Founder Club Membership Agreement ("Agreement") in its entirety.

1. Nature of the Founder Club

The Reyliff Founder Club is an exclusive, limited-availability consumer loyalty program designed to reward early supporters of the Reyliff brand with premium discounts on product purchases. The Founder Club is a consumer membership program only, and participation confers no rights beyond those explicitly stated in this Agreement.

The Founder Club is expressly NOT:

• An investment vehicle, financial product, or security as defined under the Securities Act of 1933, the Securities Exchange Act of 1934, or any applicable state securities law.
• A franchise, business opportunity, multi-level marketing program, or income-generating scheme.
• A partnership, joint venture, or equity participation in Reyliff LLC.
• A guarantee of profit, income, return on investment, or financial gain of any kind.
• A promise of product availability, pricing stability, or business continuity.

Reyliff LLC has not registered the Founder Club as a security with the U.S. Securities and Exchange Commission (SEC) or any state securities regulator, as it does not meet the legal definition of a security. Any representation by any third party that the Founder Club is an investment opportunity is false, unauthorized, and not endorsed by Reyliff LLC.

2. Membership Tiers and Benefits

The Founder Club consists of five membership tiers, each offering a fixed discount on all future Reyliff product purchases for the duration of the membership term:

"Lifetime" means the operational lifetime of the Reyliff brand and its product line. Reyliff does not guarantee perpetual business operations. In the event that Reyliff LLC ceases operations, membership benefits will terminate without refund or compensation.

Benefits are limited exclusively to discounts on product purchases at reyliff.shop. Membership does not include: free products, guaranteed product allocations, priority shipping, exclusive product access, or any other benefit not explicitly stated in this Agreement.

3. Membership Limitations and Restrictions

3.1 Personal Use Only. Founder Club discounts are intended for personal use only. Members may not use their discount codes to purchase products for resale, redistribution, or commercial purposes beyond the limited resale rights described in Section 4.

3.2 Purchase Limits. To prevent abuse and protect the integrity of the program, Reyliff reserves the right to impose reasonable purchase limits per transaction or per month at its sole discretion. Excessive purchasing patterns that suggest commercial resale or discount abuse may result in membership suspension or termination.

3.3 Non-Transferable. Founder Club memberships are strictly non-transferable. You may not sell, gift, assign, sublicense, or otherwise transfer your membership or discount code to any other individual or entity. Any attempt to transfer a membership will result in immediate cancellation without refund.

3.4 One Membership Per Person. Each individual may hold only one Founder Club membership at any given time. Purchasing multiple memberships under different names, email addresses, or payment methods to circumvent this limitation constitutes fraud and will result in cancellation of all associated memberships without refund.

3.5 No Stacking. Founder Club discount codes may not be combined with other promotional codes, sale prices, or discount offers unless explicitly authorized by Reyliff in writing.

4. Resale Rights — Limited and Conditional

Founder Club members may resell Reyliff products purchased at their discounted price, subject to the following conditions:

• Resale is permitted only through private channels (direct sales, social media, personal networks). Public marketplace listings on Amazon, eBay, Walmart, or similar platforms are strictly prohibited without prior written authorization from Reyliff.
• Resale prices must comply with Reyliff's Minimum Advertised Price (MAP) Policy. Members may not advertise or sell Reyliff products below the MAP.
• Members may not create brand-damaging listings, use unauthorized product images, or make false claims about Reyliff products.
• Violation of these resale conditions will result in immediate membership termination without refund.

5. No Refund Policy

Founder Club memberships are strictly non-refundable under all circumstances. By completing your membership purchase, you acknowledge that:

• The membership is a digital product activated immediately upon payment.
• All discount benefits are delivered electronically at the time of purchase.
• No refund, partial refund, credit, or exchange will be provided for any reason, including but not limited to: change of mind, dissatisfaction with products, business circumstances, or inability to use the membership.
• This no-refund policy is a material term of this Agreement and a condition of purchase.

6. Cancellation for Cause

Reyliff reserves the right to cancel any Founder Club membership immediately and without refund for any of the following reasons:

• Violation of any provision of this Agreement, the Terms and Conditions, the Discount Abuse Policy, the MAP Policy, or the Amazon Marketplace Policy.
• Fraudulent use of the discount code or payment fraud.
• Chargeback or payment dispute filed against Reyliff.
• Abusive, threatening, or harassing conduct toward Reyliff staff or other customers.
• Any conduct that Reyliff determines, in its sole discretion, to be harmful to the brand, other members, or the business.

7. Modification of Benefits

Reyliff reserves the right to modify, suspend, or discontinue the Founder Club program or any of its benefits at any time, with or without notice. While Reyliff intends to honor the discount benefits described in this Agreement for the duration of the membership term, no guarantee is made regarding the continuity of the program. In the event of material changes to benefits, Reyliff will make reasonable efforts to notify members in advance.

8. No Investment Return — Explicit Disclaimer

REYLIFF LLC MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE THAT PURCHASING A FOUNDER CLUB MEMBERSHIP WILL RESULT IN ANY FINANCIAL GAIN, RETURN ON INVESTMENT, OR PROFIT OF ANY KIND. The value of the discount benefits depends entirely on the member's own purchasing behavior. Reyliff does not guarantee any minimum level of product availability, pricing, or sales volume. Any financial projections, income claims, or return-on-investment representations made by third parties regarding the Founder Club are unauthorized and should not be relied upon.

9. Limitation of Liability

Reyliff's total liability to any Founder Club member for any claim arising under this Agreement shall not exceed the original membership purchase price paid by that member. Under no circumstances shall Reyliff be liable for indirect, consequential, incidental, special, or punitive damages.

10. Governing Law

This Agreement shall be governed by the laws of the State of Florida, United States. Any disputes arising under this Agreement shall be resolved in accordance with the dispute resolution provisions set forth in the Reyliff Terms and Conditions.

11. Acknowledgment

By purchasing a Founder Club membership, you confirm that:

• You are at least 18 years of age.
• You have read and understood this entire Agreement.
• You understand that this is a consumer loyalty membership, not an investment.
• You agree to all terms, conditions, and limitations set forth herein.
• You are purchasing voluntarily and without reliance on any unauthorized representations.
